Clearwater International has advised Ochre House Limited (“Ochre House”), the recruitment outsourcing and talent management business backed by NBGI Private Equity (“NBGIPE”), on the sale of the entire issued share capital of its wholly owned subsidiary ITN Mark Education Limited (“ITN Mark” or “the Company”), a leading provider of supply teachers and teaching assistants in England and Wales.
Core Education and Consulting Solutions (UK) Limited (“Core Education”), a wholly-owned subsidiary of Core Projects and Technologies Limited (“Core Projects”), has acquired ITN Mark in deal valued at over £13m. Core Projects is a leading global education company based in India, providing education solutions and consulting services to educational institutions in the US, UK, India, Africa and the Caribbean Islands. Core Projects is listed on both the Bombay Stock Exchange and the National Stock Exchange of India.
Established in the late 1990s, ITN Mark provides supply teachers and teaching assistants to schools and local authorities in England and Wales. The Company matches schools looking to cover staff absences with education professionals. ITN Mark, which is head quartered in Manchester, has approximately 3,600 teachers and 1,300 teaching assistants vetted and available for work, and currently services around 1,600 schools. As well as teaching assistants, the Company provides laboratory technicians, coaches and other experienced classroom staff without formal professional qualifications. In addition, ITN Mark provides tailored services to single faith schools and academies, as well as consultancy services to local education authorities to assist with their outsourcing projects.
