Clearwater International has advised the shareholders of Imtech UK and Ireland (Imtech), including Endless LLP, on the sale of the business to EDF Energy Services. EDF Energy Services is a joint venture between EDF Energy and Dalkia. Imtech is a leading engineering services company and one of the largest providers of technical services to construction, industrial, commercial and public sector clients in the UK and Ireland.

Imtech employs over 2,100 people, generating revenues of over €450m per year delivering mechanical and electrical engineering services, technical operation and management of facilities, and the integration of digital control solutions.

Backing and expertise from the EDF Group will enable Imtech to continue to deliver high quality services for new and existing clients and support its growth across all its business, including in low carbon solutions, a key part of both Imtech and EDF Group strategies.

The combined expertise of EDF Energy, Dalkia and Imtech will enable the company to apply the latest technologies and offer innovative services that deliver improved energy efficiencies at every stage in the life of industrial and commercial facilities – from initial design and build, operation and maintenance through to control of energy.

Within EDF Energy Services Imtech will retain its operational autonomy and will continue to run the business with its experienced management team, providing strong leadership as they have done successfully for many years. Imtech will be looking to recruit new talent into the business to accommodate this acceleration in their strategy.

The Clearwater International team was led by Partner Paul Jones, with support from Director Helen Lowe and Associate Shahbaz Qasim.

The acquisition of Imtech Group is subject to final approval from the European Commission, which is expected to be granted in the coming weeks.

“As the UK’s largest generator of low carbon electricity and the number one supplier to businesses, the addition of Imtech is a major step in the development of energy services and low carbon solutions for our valued customers. This agreement is a key element of our strategy for long-term growth and investment, and a further demonstration of our commitment and support for British businesses and industries.

“We are delighted to welcome the 2100 employees of Imtech. There is a close fit between the two businesses with our shared passion for safety, innovation, digital solutions and quality of service for customers.”

Vincent de Rivaz, CEO, EDF Energy

“Thanks to this acquisition, we are excited to welcome the skilled and experienced Imtech teams to EDF Energy Services. Their loyal customer relationships will provide a solid platform from which we can continue to grow the business. I am convinced that our combined expertise will enable us to continue to support our customers and develop innovation and digital solutions for their benefit.”

“The acquisition of Imtech UK and Ireland by our joint venture is another major step towards meeting our international growth ambition.”

The support of EDF Energy Services strengthens our capacity to continue to grow and build on our relationships with existing customers in the years ahead. I would like to recognise the support they have given the business over many years and we look forward to continuing to partner with them.

“By combining forces with EDF Energy Services, we have secured greater capability to respond to the future needs of our customers, and will be able to design and deliver innovative solutions.

“Endless has been a great owner of Imtech and I would like to thank them for all their support and input over the last two years.”

Paul Kavanagh, CEO, Imtech UK and Ireland

“We are tremendously proud to have been partnered with Imtech over the last two years. The business has outperformed on every metric, which is an outstanding achievement and demonstrates the strength of the team and business we are now passing on. EDF will enable the business to continue to grow and offers a fantastic future for the company’s 2100 employees.

“We wish Paul Kavanagh and the whole Imtech team along with their new owners EDF, all the best for the future and thank them for their outstanding efforts and commitment.”

Aidan Robson, Partner, Endless

“It has been an absolute pleasure to have advised Imtech for the last eight years, firstly as part of the listed Royal Imtech Group, then through its MBO backed by Endless and finally on its strategic trade sale to EDF Energy Services. The exceptional management team led by CEO Paul Kavanagh has built a highly impressive business of scale with leading technical skills. The business is strategically placed to succeed in a developing digital and energy focused engineering services market. The demand for high level technical services and industrial ICT skills remains strong, driven by a variety of end markets from energy management and infrastructure, to the technology hungry commercial property market and the globally adopting industrial automation market. We wish Imtech all the best going forward.”
