Care UK acquires Harmoni.

November saw the completion of eight deals in the UK Healthcare space.

The most interesting announcement this month was Care UK’s acquisition of Harmoni, the largest out-of-hours GP service provider, for £48m.

Harmoni, a former GP co-operative, is an out-of-hours services provider. It has recently won 12 NHS contracts to run the new non-emergency 111 health phone lines, interestingly beating a joint bid from Care UK and Capita. The NHS has an urgency to triage services that reduce unscheduled and inappropriate hospital admissions of patients who can and should receive treatment elsewhere. Care UK is one of many organisations including Serco, Virgin Care, Mitie and Interserve, beefing up their healthcare teams amid an increase in contracts coming out to tender.

Deals

Delta Partners Ltd acquired a minority stake in Glysure Ltd for a consideration of £8.5m. Glysure is a UK-based continuous blood glucose monitoring systems developer.

Westhouse Medical Services plc acquired Quy Biosciences Ltd for a consideration of £1.7m. Westhouse Medical Services provide medical services to the primary healthcare sector and implement the innovation and development of cutting edge technology through a range of medical devices. Quy Biosciences is a stem-cell based animal wound healing products manufacturer.

Mr Michael Adey Jones acquired Mental Health Care (UK) Ltd, from Castlebeck, for an undisclosed amount. Mental Health Care is a leading independent provider of specialist mental health and learning disability services.

Mears Group plc acquired Morrison Facilities Services Ltd for a consideration of £24m. Mears Group is a company engaged in providing range of outsourced services to the public and private sectors. Morrison Facilities Services Ltd, is a UK based company engaged in repairing and maintaining social housing.

Care UK acquired Harmoni Ltd from private equity firm ECI for a consideration of a consideration of £48m. Care UK is a provider of health and social care services. Harmoni is the UK’s largest provider of GP out-of-hours services.

Stericycle International Ltd acquired Emergency Response Services Ltd for a consideration of £4.9m. Stericycle International specialises in collecting and disposing medical waste, recalled and expired medical products, and infection control management and services. Emergency Response Services is an ambulance service company.

Curtiss-Wright Corporation acquired PG Drives Technology Ltd for a consideration of £39.7m. Curtiss-Wright is an aircraft manufacturer. PG Drives Technology is a wheelchair controller manufacturer.

VWR International LLC acquired Lab3 Ltd for an undisclosed amount. VWR International is a US-based distributor of laboratory supplies and equipment to the industrial, pharmaceutical, educational and government markets. Lab3 is UK-based distributor of scientific laboratory supplies.
