Clearwater International France has advised Apax Partners Dévelopment on the sale of Groupe Silvya Terrade to Abénex Capital as well as on the financing of the Group.
Backed by Apax Partners Dévelopment since 2016, Groupe Silvya Terrade, developed by Grégory Declercq, Pierre Juhen and Bernard de Sagazan, announced today that it will pursue its expansion alongside Abénex.
Groupe Silvya Terrade is the largest network of beauty and hair styling schools in France, preparing students for a full range of qualifications in Beauty, Cosmetics, Perfumery and Hair styling. More than 4,800 students are enrolled each year in its 37 schools in France and Switzerland. The group also manages a broad network of more than 3,000 professional partners – including brands, institutes and salons – and draws on the skills of 500 education professionals.
Apax Partners Dévelopment invested in 2016 and since then, the group has oriented its growth strategy along two avenues: carrying out build-ups in France and Europe, with the acquisition of 30 schools, and modernising and diversifying its range of training programs, by moving into higher levels of qualification, as well as digitalising content and learning methods.
The group intends to pursue its acquisition strategy so as to significantly extend its schools network and invest in digitalisation and development of state-certified programs.
In the meantime, Clearwater’s Debt Advisory team was mandated by the Group to provide a financing which will allow for flexibility to pursue its ambitious external growth strategy. Tikehau Capital arranged this financing composed of:
- An unitranche debt;
- A capex line for future build-ups.
The Clearwater International France team was composed of Thomas Hamelin, Director, Sophie Lerond, Associate, Thibaut Couvrecelle, Analyst, and the Debt Advisory team with Laurence de Rosamel, Director, Paul Assaël, Associate and Léa Joly, Analyst.
Grégory Declercq, CEO, Groupe Silvya Terrade commented: “From the outset, Apax Partners was fully in phase with our build-ups strategy in France and our plan to organically develop the range of training programs oriented towards the Beauty segment and industry professionals. Their expertise in this area has enabled us to become the undisputed leader in our market. We are very pleased to continue our development alongside Abénex. We will continue with a similar strategy, with a more comprehensive and international ambition.”
Caroline Rémus, President, Apax Partners Development said: “We are proud to have supported Silvya Terrade’s strong growth and digital transformation. It was the relationship of trust established with Grégory Declercq and his staff that made everything possible.”
Antoine Houël, Director, Abénex added: “In just a few years, Groupe Silvya Terrade has become a major stakeholder in the French private education sector, with a leadership position in beauty and hairstyling. We are delighted to have the opportunity to work with Grégory Declercq and his team on rolling out their ambitious growth plan, both in France and internationally.”
Thomas Hamelin, Director, Clearwater International France commented: “We are particularly proud to have accompanied the Groupe Silvya Terrade in its new phase of development which has enabled the Group to become an undisputed leader in France. With Abénex as a majority shareholder, the Group will pursue its rapid growth in Europe.”
Laurence de Rosamel, Director, Clearwater International France added: “We are pleased to have allowed the group to secure a flexible financing which will support its ambitious growth strategy.”
